TERMS & CONDITION
As regulated under the Property Stock and Business Agents Act 2002.
We understand and are satisfied with the manner in which Claymore Thistle Pty Ltd is to locate and/or negotiate a property on our behalf as outlined in this agreement.
Principals Authority
The “Principal” (hereafter referred to as the “client”) warrants
it has the authority to enter into this exclusive agreement.
Appointment
The Client hereby appoints Claymore Thistle Pty Ltd and accepts such appointment, to act as its exclusive property relocation agent as set out in service and applicable fees section above.
Period of Agreement
The client grants Claymore Thistle Pty Ltd exclusive rights to search for and appraise property, negotiate behalf of the client from the date of this agreement. The exclusive rights continue until such time as the client obtains a property or the agreement is terminated in writing by either party.
Agent remuneration
In consideration for Claymore Thistle Pty Ltd acting as a your relocation agency we will invoice you upon receipt of this agreement. The Agent shall commence work as detailed on page 7.
The parties also expressly agree that The Agent shall also be entitled to payment of the agreed fee if the vendor or agent of a property is introduced to The Client by The Agent at any time prior to the termination of this Agreement, and The Agent satisfied any of the requirements listed in 2 any time after such termination.
Any amounts referred to in this Agreement are subject to Goods and Services Tax (GST).
GST is at the rate of 10% (the current rate). In the event of the current rate being increased or decreased by legislation, the parties agree that any amounts referred to in this Agreement will be varied accordingly.
The total fee is payable by the client regardless of whether a lease is signed if property viewings have commenced.
Financial and Investment Advice
WARNING: Any financial or investment advice provided by the agent to the client is of a general nature only whose preparation does not take into account the individual circumstances, objectives, financial situation or needs of the client. The client is strongly advised to seek their own independent legal, financial or investment advice.
Acknowledgement
The client acknowledges being served with a copy of this
agreement.
Confidentiality
Any Confidential Information made available for any purpose by either party to the other party during the term of this Agreement shall be used only for the purposes of this Agreement and shall be held in trust and treated as privileged and confidential by the receiving party unless the release of such information is approved by the disclosing party or is reasonably required for the performance a party’s obligations under this of this Agreement. In addition, the client agrees to keep strictly confidential all information provided by Claymore Thistle Pty Ltd during the course of the agreement. The client must not transmit details of properties or research reports or any information provided to any third parties without the express permission of Claymore Thistle Pty Ltd.The client must not use any information provided by Claymore Thistle Pty Ltd, except for the purpose of making a decision whether to purchase the property or not. This clause remains after the termination of the agreement.
Material Fact
The client warrants it has supplied Claymore Thistle Pty Ltd in writing with all the material facts in respect of its proposed property acquisition. In this clause “material fact” has the same meaning as Sect 52 Property Stock & Business Agents Act. The Client Acknowledges that the services Claymore Thistle Pty Ltd provides, is largely dependent on the client disclosing all material facts. The Client releases Claymore Thistle Pty Ltd for any loss the Client may suffer as a result of any action taken by Claymore Thistle Pty Ltd in which a material fact was not provided.
Limitation of Liability
Notwithstanding anything in this Agreement, neither party will be liable for any special, incidental, liquidated, consequential or exemplary loss or damage, loss for business interruption, loss of business reputation, loss of actual or anticipated revenue, income or profits or any indirect, contingent or penal damages whatsoever, no matter how caused (including through negligence) and regardless of whether that party knew or ought to have known they were possible.
To the extent permitted by law, Claymore Thistle Pty Ltd total liability under or in connection with this Agreement (whether in tort (including negligence), for breach of contract or breach of statute or otherwise) will not exceed an amount equal to the amount payable by the Client to Claymore Thistle Pty Ltd under this Agreement.
Unreasonable Action
The Client shall at all time act reasonable in its dealings with Claymore Thistle Pty Ltd and Claymore Thistle Pty Ltd is not responsible for not being able to locate a property due to the client acting unreasonable.
Conjunction
Unless otherwise instructed, the Agent may allow other agents to act in conjunction with them in order to affect a purchase but only one fee will be payable.
Termination
This agreement may be terminated by either party giving 30 days’ notice in writing. Once we have commenced work a non-refundable fee of 25% is payable.
Disclosure of Rebates, Commission or Discounts.
Claymore Thistle Pty Ltd agrees to act exclusively in the client’s best interests and warrants that no commission payment is received from the vendor or the vendor’s agent with respect to a property that a client is purchasing or leasing.
Agents Indemnity
The client holds and keeps Claymore Thistle Pty Ltd, its officer’s employees, and contractors indemnified against all actions, suits, claims, costs, demands and other expenses whatsoever which may be taken or made against Claymore Thistle Pty Ltd in the course of or arising out of the proper performance or exercise of any of the powers, duties or authorities of Claymore Thistle Pty Ltd under this agreement.
Professional and other advice
The client acknowledges that all advice provided by Claymore Thistle Pty Ltd is general in nature and subject to the inherent volatility of the real estate market. Claymore Thistle Pty Ltd advice does not form legal advice, town planning, building, renovation, architectural or other professional advice. The client must rely upon their own inquiries of any statutory authorities (Council, sewerage, water, environmental) to establish the quality or suitability of the property for their purposes.
Choice of Law
The parties agree that the laws of the state in which theproperty search is being conducted shall apply to this agreement. In the event that it is unclear, or multiple state apply, then the default choice of law will be Queensland, Australia.
Severability
If at any time a term of this Agreement is or becomes illegal, invalid or unenforceable that term is severed from this Agreement and the remainder of the Agreement will remain in full force and effect, excluding the severed term
Assignment
The client must not assign or attempt to assign, or otherwise transfer or attempt to transfer, any right or obligation
under this Agreement without the prior written consent of Claymore Thistle Pty Ltd.
Waiver and Amendment
A provision of or a right created under this Agreement may not be waived, except in writing signed by the party granting the waiver; or varied, except in writing signed by the parties.
Arrival Point pick up and transfer
Distance covered: 70km from arrival airport. Excess mileage is charged at AUD20 for every 10km for a regular car or AUD27 for every 10 km for a passenger van (on request), inclusive of GST. Transfers between airport terminals is not available. Capacity per transfer is one suitcase plus one carry‑on bag per passenger. Luggage allowance is not included for infants who do not have their own airline seat. Airport arrivals are tracked by our drivers. Excessive wait times once the plane has landed will be charged.
Rentals
It is part of a relocation package that your relocation team view rentals on your behalf, sometimes those rentals may be occupied by tenants and / or furniture therefore it is difficult for us to view everything in the property in extreme detail. Each viewing is generally only 15minutes long depending on the real estate agent holding the viewing. We will endeavour to capture as much information as possible withing this 15 minutes. A bond clean and carpet clean is standard within Australia for a vacating tenant. It is the responsibility of the rental property manager to complete any minor repairs prior to lease commencement. These items are beyond our control as your relocation agent and although we endeavour to ensure that this has been completed prior to your lease start date it cannot always be guaranteed as it lies in the hands of an external agency outside of our company. We will always do what we can to assist with this moving in process within our companies capabilities.

Acceptance of Terms:
By completing this form, you are engaging Claymore Thistle Pty Ltd to carry out the nominated service noted in this document. By instructing Claymore Thistle Pty Ltd for the nominated service, you confirm acceptance of the Terms and Conditions.

Agents’ Authority:
I/ We, the undersigned (“the principal”) agree to authorise Claymore Thistle Pty Ltd (ABN 60 610 559 405) trading as Claymore Thistle Pty Ltd to act as our Relocation Agent in undertaking the selected property search services and agree to pay the fees corresponding to package that we have nominated in the Applicable Fees section above and in accordance with the terms and conditions contained herein.
